Terms of Service

These terms set out what you can expect from Nuppact and what we expect from you. They are written in plain English on purpose. See also our Privacy Policy and Disclaimer.
1. Who these terms are between
These Terms of Service are an agreement between you and Nuppact ("Nuppact", "we", "us"). By creating an account or using the service, you accept these terms. If you do not accept them, do not use the service.
You must be at least 18 years old and legally able to enter into contracts to use Nuppact.
2. What Nuppact provides
Nuppact is a software service that helps two adults in a relationship document their finances, build a structured private agreement together, and execute that agreement as a digitally signed contract.

3. Your account
You are responsible for the security of your login credentials. Notify us promptly if you suspect unauthorised access.
A Nuppact involves two partners. Each partner is responsible for the accuracy of the information they enter individually; both partners are jointly responsible for the joint sections.
We may suspend or terminate accounts that breach these terms, that are used to harass another user, or that we reasonably believe are being used unlawfully.
4. Honest disclosure
The value of a Nuppact depends on full and honest financial disclosure by both partners. Knowingly omitting or misstating material assets, debts or income undermines the contract you produce and may also constitute fraud under the laws of your jurisdiction. We rely on you to disclose honestly.
5. The contract you produce
The signed PDF that Nuppact generates is a private contract between you and your partner. Nuppact is not a party to that contract.
Whether specific terms of your Nuppact are enforced by a court depends on your jurisdiction, the circumstances at the time of any dispute, and the discretionary powers of relevant courts, particularly in matters governed by family law.
Both partners receive a copy of the PDF. Nuppact retains a copy and the associated execution metadata as part of providing the service.
6. Pricing and payment
Onboarding and financial disclosure are free. Executing a Nuppact is a one-time fee of $79 per couple, payable when both partners are ready to sign.
Optional annual renewal is $5 per couple, per year, charged on the anniversary of execution.
Prices are stated in US dollars and may change for new customers; we will give existing customers reasonable notice of any change to renewal pricing.
7. Refunds
If you paid the $79 execution fee and have not yet signed your Nuppact, you can request a full refund within 14 days of payment. No questions.
Once both partners have signed, the contract has been generated and the service has been delivered, so we cannot refund the execution fee.
Optional annual renewal fees are non-refundable but you can cancel future renewals at any time.
8. Acceptable use
Do not use Nuppact to commit fraud, evade tax, conceal assets in violation of a court order, or coerce a partner into terms they do not understand or agree to.
Do not attempt to reverse-engineer, scrape or disrupt the service.
9. Liability
Nuppact is provided on an "as is" basis. To the maximum extent permitted by law, our total liability to you for any claim arising out of the service is limited to the amount you paid Nuppact in the 12 months before the claim arose.
We do not exclude liability that cannot lawfully be excluded, for example liability for fraud or for personal injury caused by negligence.
10. Changes
We may update these terms. Material changes will be notified by email and posted to this page with a new "last updated" date. Continued use of the service after a change means you accept the updated terms.
11. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, except where your local consumer-protection law gives you the right to bring a claim in your home jurisdiction.
